Terms of Service

1. Acceptance of Terms

By accessing or using the SkillDrill platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree to these Terms, you must not use the Service.

2. Service Description

SkillDrill is an AI-powered skills mapping, skills auditing, and team intelligence platform. The Service enables organisations to conduct AI-facilitated conversations with their team members, analyse skills data, build teams, and generate workforce insights. The Service is provided on a software-as-a-service (SaaS) basis.

3. User Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.

Organisation administrators are responsible for managing user access within their tenant, including inviting users, assigning roles, and deactivating accounts as needed.

4. Data Ownership & Processing

You retain all ownership rights to data you submit to the Service ("Your Data"). We process Your Data solely to provide and improve the Service, as described in our Privacy Policy. We do not sell, rent, or share Your Data with third parties for their marketing purposes.

AI-generated analysis and skill profiles are derived from Your Data and are considered part of Your Data. You may export or delete Your Data at any time through the Service.

5. Payments & Billing

Paid plans are billed monthly or annually in advance. Prices are quoted in GBP and are exclusive of applicable taxes. You authorise us to charge your designated payment method for all applicable fees. We reserve the right to change pricing with 30 days' written notice.

All plans are subject to the usage limits described on our pricing page. We reserve the right to modify plan terms with reasonable notice.

6. Termination

You may cancel your account at any time through the Service or by contacting us. Upon cancellation, your access to paid features will continue until the end of your current billing period. We may suspend or terminate your account if you violate these Terms or if your account remains inactive for an extended period.

Upon termination, we will retain Your Data for 30 days to allow for export. After this period, Your Data will be permanently deleted in accordance with our data retention policy.

7. Limitation of Liability

To the maximum extent permitted by law, SkillDrill and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
